Version 2.0 | Effective July 2026Use of the mEPermit System, as defined herein, is subject to this End User License Agreement (“EULA”) and the important legal notices and disclaimers herein. By creating an account to use the mEPermit System, you (“End User”) accept and agree to all of the terms, conditions and requirements of this EULA. A copy of this EULA is included as part of End User’s agreement authorizing the use of the mEPermit System.
PLEASE READ THE FOLLOWING TERMS AND CONDITIONS BEFORE PRESSING "ACCEPTED AND AGREED" AT THE END OF THIS AGREEMENT. THIS END-USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY), THE END USER, AND DIGITAL ROOF SOLUTIONS INC., ITS AFFILIATES, SUBSIDIARIES, SUCCESSORS, AND ASSIGNEES, FOR THE MEPERMIT SYSTEM, AS DEFINED HEREIN. BY INSTALLING, COPYING, ACCESSING OR OTHERWISE USING THE MEPERMIT SYSTEM, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, YOU MAY NOT INSTALL, ACCESS, COPY, DOWNLOAD OR USE THE MEPERMIT SYSTEM. IF YOU DO NOT AGREE, CLICK "DISAGREE/DECLINE." YOU AGREE THAT YOUR USE OF THE MEPERMIT SYSTEM ACKNOWLEDGES THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
It is hereby understood and agreed that Digital Roof Solutions Inc., a Florida corporation with offices at 7901 4th S N, Ste 300, St Petersburg, FL 33702 (Licensor) is the owner of all right, title and interest to the mEPermit System, regardless of the media or form of the original download or use, whether through the internet, storage media, or otherwise. You (End User), as licensee through your downloading, accessing, installing, copying, or use of this system, do not acquire any ownership rights to any aspect of the mEPermit System.
Use of the mEPermit System is licensed, not sold, to you by Licensor for use only under the terms of this EULA. The mEPermit System is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The rights granted herein are limited to Licensor and its licensors’ intellectual property rights in the mEPermit System and do not include any other patents or intellectual property rights. The terms of this EULA will govern any system and software updates and upgrades provided by Licensor that replace and/or supplement the original mEPermit System, unless such an update or upgrade is accompanied by a separate license in which case the terms of that license will govern.
4.1 The “mEPermit System,” as used in this EULA, means, collectively and/or as applicable:
4.1.1 Any and all software, infrastructure, platforms, interfaces, database systems, hosting environments, algorithms, code, and other technologies and tools utilized by or provided to the End User (the “Software”);
4.1.2 The mEPermit portal, application, and website (the “Portal”);
4.1.3 Any and all content, components, attachments, software, media, and code with which this EULA is provided and delivered to the End User and any and all materials, attachments, media, and any other possible documentation generated for the End User (the “Content”);
4.1.4 Any and all images, photographs, charts, diagrams, graphic works, art, art work, clip art, fonts or other artistic works utilized by or provided to the End User (the “Art Work”);
4.1.5 Any and all explanatory written materials and instructions, and any other documentation related thereto utilized by or provided to the End User (the “Documentation”); and
4.1.6 Any and all upgrades, modified versions, updates, and additions to any of the foregoing (the “Upgrades”).
5.1 Licensor grants you, the End User, a non-exclusive, non-transferable license and right to use the mEPermit System through the Portal.
5.2 Unless provided otherwise in the Documentation or by prior express written consent of Licensor, you shall not display, modify, reproduce or distribute any of the Software, Portal, Content, Art Work, Documentation, Upgrades or portion(s) thereof, included with or relating to the mEPermit System. Any such authorized display, modification, reproduction or distribution shall be in full accord with this EULA. Under no circumstances will your use, display, modification, reproduction or distribution of the Software, Portal, Content, Art Work, Documentation, or Upgrades give you any Intellectual Property or Proprietary Rights of the Software, Portal, Content, Art Work, Documentation, or Upgrades. All rights, title, and interest belong solely to Licensor.
5.3 Except for the use of the mEPermit System as provided for above, you shall not, without Licensor's prior express written consent:
5.3.1 Copy or reproduce any part of the mEPermit System;
5.3.2 Electronically or otherwise transfer any part of the mEPermit System through any electronic or network systems or through any other means whatsoever; or
5.3.3 Modify, adapt, or create derivative works based on any part of the mEPermit System or any accompanying materials, Software, Portal, Content, Art Work, Documentation, or Upgrades.
5.4 Licensor retains all right, title, and interest in and to the mEPermit System, and any rights not granted to you herein are reserved by Licensor. You hereby expressly agree not to extract information, reverse engineer, disassemble, decompile, or translate the mEPermit System, or otherwise attempt to derive the source code of the Software.
5.5 You shall not modify, sublicense, assign, or transfer the mEPermit System or any rights under this EULA, except as expressly provided in this EULA. Any attempt to sublicense, assign, or transfer any of the rights, duties, or obligations will be void.
6.1 Conditions of Use. End User of the mEPermit System acknowledges and accepts the following conditions of use:
6.1.1 End User must be a State of Florida licensed contractor.
6.1.2 End User must provide proof of current general liability insurance and worker’s compensation insurance.
6.1.3 End User must provide proof of unexpired insurance and State of Florida contractor’s license and renewals as they become available and prior to the expiration of any previous such documentation on file with the mEPermit System.
6.1.4 An expired insurance certificate or State of Florida contractor’s license will result in the suspension of access to the mEPermit System, until the contractor’s license and/or insurance is renewed, and proof of renewal is provided.
6.1.5 Unlawful, illegal, or harmful activities by End User such as, for example, obtaining permits for unlicensed contractors or aiding and abetting another in doing so, is cause for immediate suspension of access to the mEPermit System and/or termination of End User’s rights under this EULA.
6.1.6 Any general liabilities or financial consequences arising out of the act of obtaining permits for unlicensed contractors shall solely be the responsibility of End User of the mEPermit System.
6.2 End User Responsibilities. End User of the mEPermit System acknowledges and accepts the following additional requirements, conditions, and limitations of the mEPermit System:
6.2.1 End User must accurately provide information that is specific to the job site for which a building or roofing permit is applied, including a current and accurate process number issued by the Authority Having Jurisdiction (AHJ).
6.2.2 End User is required to and shall provide correct and accurate information, specifications and designs in order to use the mEPermit System. Any misinformation, miscalculations or mistakes that are inputted into the mEPermit System will impact the results, accuracy, and reliability of the permit submittal. End User assumes all responsibility to provide accurate information, specifications and designs. Licensor is not responsible for the accuracy of the information, specifications or designs provided by End User.
6.2.3 It is End User’s responsibility to upload any and all required documents into the correct access portal of the AHJ. These documents include, but are not limited to, municipal permit application forms, owner’s notification forms, and elevation certificate forms.
6.2.4 The failure of an AHJ for any reason, to accept an mEPermit System generated document shall not be the responsibility of Licensor.
6.2.5 Any misinformation or mistakes made when obtaining a building or roofing permit will be noted at the time of first inspection made by the AHJ. This will result in a failed inspection and will require either a permit revision or the possibility of a canceled or revoked permit by the AHJ.
6.2.6 Licensor disclaims any responsibility for any and all results obtained from using the mEPermit System. Results are dependent on the information, specifications and designs provided by End User.
6.3 Undertakings of Licensor.
6.3.1 Licensor will utilize commercially reasonable efforts to enable the mEPermit System to provide a review of End User’s submitted documents, specifications, and information to verify compliance with the current High Velocity Hurricane Portions (HVHZ) of the Florida Building Code (FBC).
6.3.2 Licensor will utilize commercially reasonable efforts to generate roofing or other building permit documents and specifications through the mEPermit System that will be deemed to comply by the AHJ having responsibility for accepting and reviewing these documents in order to issue a municipal roofing or building permit.
6.3.3 It is solely at the discretion of the AHJ to accept or reject permit documents generated by the mEPermit System. Licensor does not guarantee the acceptance of permit documents generated by the mEPermit System.
6.3.4 From time to time, at Licensor's sole discretion, Licensor may provide you with support services related to the mEPermit System ("Support Services"). Licensor reserves the right to alter, suspend, and terminate the Support Services at any time and for any reason. Use of Support Services is governed by this EULA.
6.3.5 Any supplemental software, code, content, or media provided to you in the course of Support Services shall be considered part of the mEPermit System and subject to the terms and conditions of this EULA.
7.1 All rights not expressly granted herein are reserved by Licensor.
8.1 This EULA is effective until it is terminated. End User may terminate this EULA at any time by deleting End User’s account and ceasing use of the mEPermit System. Licensor may terminate this EULA at any time for any reason by providing End User with written notice to the electronic mail (“e-mail”) address on file in connection with End User’s account information. It is End User’s responsibility to ensure an accurate and current e-mail address is on file and maintained in connection with End User’s account. In the event that the e-mail address on file is inactive, inaccessible or otherwise out of service, Licensor may terminate this EULA without any notice to End User.
8.2 End User’s rights under this EULA will terminate automatically without notice from Licensor if End User fails to comply with any term(s) or condition(s) of this EULA. In such event, no notice shall be required by Licensor to effect such termination.
8.3 Upon expiration or termination of this EULA, you shall cease all use of the mEPermit System and destroy all copies, full or partial, together with all backup copies, modifications, printed or written materials, and merged portions in any form in connection with the mEPermit System, other than those documents generated by the mEPermit System based on the information provided by End User specifically for End User’s use.
8.4 Upon expiration or termination of this EULA, all rights granted to End User under this EULA shall forthwith terminate and immediately revert to Licensor.
9.1 Licensor shall retain all right, title, and interest in the mEPermit System and to any modifications or improvements made thereto, whether made or suggested by End User, Licensor, or a third party, and any upgrades, updates or Documentation provided to End User. End User will not obtain any rights in the mEPermit System, including the Software, Portal, Content, Art Work, Documentation and Upgrades.
9.2 End User acknowledges Licensor’s exclusive rights in the mEPermit System and that the mEPermit System is unique and original to Licensor and that Licensor is owner thereof. Unless otherwise permitted by law, End User shall not, at any time during or after the effective term of this EULA, dispute or contest, directly or indirectly, Licensor’s exclusive right and title to the mEPermit System or the validity thereof.
9.3 End User shall not attempt, or assist any third party’s attempt, to develop any system, application or software that contains the "look and feel" of any of the mEPermit System.
9.4 End User agrees to respect and not to remove, obliterate, or cancel from view any copyright, trademark, confidentiality or other proprietary notice, mark, or legend appearing on any of the mEPermit System or output generated by the mEPermit System, and to reproduce and include same on each copy of output generated by the mEPermit System.
10.1 The Parties (Licensor and End User) will at all times use commercially reasonable efforts to comply with all applicable laws, rules and regulations, including the U.S. Children’s Online Privacy Protection Act, relating to privacy and data protection.
11.1 The mEPermit System and related documentation are "Commercial Items," as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §§227.7202-1 through 227.7202-4, as applicable. The Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other End Users pursuant to the terms and conditions herein. Unpublished rights reserved under the copyright laws of the United States.
12.1 YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE MEPERMIT SYSTEM IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MEPERMIT SYSTEM IS PROVIDED "AS IS," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND DIGITAL ROOF SOLUTIONS INC. AND DIGITAL ROOF SOLUTIONS INC.'S AFFILIATES (COLLECTIVELY REFERRED TO AS "DIGITAL ROOF SOLUTIONS INC." FOR THE PURPOSES OF SECTION 11) HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE MEPERMIT SYSTEM, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. DIGITAL ROOF SOLUTIONS INC. DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE MEPERMIT SYSTEM THAT THE FUNCTIONS CONTAINED IN THE MEPERMIT SYSTEM WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE MEPERMIT SYSTEM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE MEPERMIT SYSTEM WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY DIGITAL ROOF SOLUTIONS INC. OR A DIGITAL ROOF SOLUTIONS INC. AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE MEPERMIT SYSTEM PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.
13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITAL ROOF SOLUTIONS INC., ITS AFFILIATES OR LICENSEES, BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE MEPERMIT SYSTEM OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF DIGITAL ROOF SOLUTIONS INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, DIGITAL ROOF SOLUTIONS INC.'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE RELEVANT REVIEWED PERMIT APPLICATION ONLY.
14.1 As a condition of use of the mEPermit System, End User agrees to indemnify, hold harmless and defend forever Licensor, its subsidiaries, and its officers, employees, agents, contractors and affiliates from and against any and all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, costs, and expenses, including but not limited to reasonable attorney's fees and costs, arising out of any act, error, omission, or negligent act by End User or any of its officers, agents, or employees, and any act, actually or allegedly, directly or indirectly, arising out of or related to End User's breach or violation of the terms and conditions of this EULA, whether or not the relevant claim has merit.
15.1 Controlling Law and Venue. This EULA will be governed by and construed in accordance with the laws of the State of Florida, as applied to agreements entered into and to be performed entirely within Florida between Florida residents. End User agrees to submit to the jurisdiction of the courts in the State of Florida, and agrees that any suit shall be brought in any state or federal court of competent jurisdiction in Miami-Dade County, Florida. End User waives any and all objections to jurisdiction or venue.
15.2 Severability. If any provision, phrase, sentence, clause or sub-clause of this EULA is found to be invalid, illegal or unenforceable, it shall not affect the validity or enforceability of any other provision, phrase, sentence, clause or sub-clause of this EULA and the remainder of this EULA shall continue in full force and effect. This EULA shall be construed in all respects as if such invalid, illegal or unenforceable provision, phrase, sentence, clause or sub-clause was omitted.
15.3 Entire agreement. This EULA constitutes the entire understanding of the parties, and revokes and supersedes all prior agreements between the parties and is intended as a final expression of their agreement. It shall not be modified, amended, or supplemented except in writing signed by the parties hereto and specifically referring to this EULA. This EULA shall take precedence over any other documents that may be in conflict therewith.
15.4 Assignability; Third-Party Beneficiaries. Licensor may assign or transfer this EULA, and any of its rights, duties, or obligations under this EULA, without the consent of End User. The rights, duties and obligations of Licensor under this EULA shall inure to the benefit of and be enforceable by its successors or assignees. End User may not assign or transfer this EULA or any rights, duties, or obligations under this EULA, by operation of law or otherwise, without Licensor’s prior written consent. In the event of End User’s death, this EULA shall be binding upon End User’s estate, heirs, and legal representatives to the extent required to effectuate its terms. This EULA is for the benefit of, and is enforceable only by End User, and there are no third-party beneficiaries who may enforce this EULA.
15.5 Waiver. If Licensor waives any breach or default by End User, such waiver shall not constitute a waiver of any subsequent breach or default. If Licensor resorts to any remedy or remedies, such resort shall not limit the Licensor’s right to resort to any and all other legal and equitable remedies that are available to it. Licensor’s failure to enforce any provision of this EULA or to exercise any of its rights or remedies shall not constitute a waiver of any of Licensor’s other rights or any of End User’s obligations.
15.6 Survival of Rights. Notwithstanding anything to the contrary, all of End User’s obligations shall remain in full force and effect, even after this EULA’s termination or expiration, until discharged by performance. Any accompanying rights shall remain in force until their expiration.
15.7 Headings. The paragraph headings herein are for convenience and reference only and shall not be deemed to govern, limit, modify, or in any other manner affect the scope, meaning, or intent of the provisions themselves.
